Appointment: The above-mentioned party is appointed as a non-exclusive distributor/dealer/reseller in the territory specified above and will use best efforts to promote, market and sell SmartBrainz EDU products. Exclusive rights, if any, must be agreed separately in writing.

02 Discount & Incentive Structure

Commercial terms shown for acknowledgement.

Base minimum discount: 10% to 15% on eligible products, subject to applicable commercial terms.
Sales incentive: Additional 10%, subject to the applicable incentive policy and achievement criteria.
School sponsorships / special schemes: Support up to 25%, only with prior approval from SmartBrainz EDU.

The applicable calculation basis, eligibility criteria and payout/settlement terms should be confirmed in the written commercial policy.

03 Term, Termination & Confidentiality

Please review the basic appointment conditions.

Either party may terminate this arrangement by providing 30 days' written notice.
For a material breach, the non-breaching party may terminate subject to written notice and a reasonable opportunity to remedy the breach, where applicable.
The distributor must keep non-public company, pricing, customer and business information confidential.
The Bookseller shall follow applicable laws and SmartBrainz EDU's authorised branding and marketing guidelines.
This non-exclusive appointment does not create an employment, partnership or joint-venture relationship.

04 Refundable Promotional Deposit for marketing kit

Refundable and adjusted in sales incentive .

The deposit is towards promotional material, catalogues and specimen products. Refund conditions, return of applicable materials and settlement of outstanding dues should be mutually agreed.
